ARM Green Industries Limited has taken steps toward establishing a formal group structure by bringing its subsidiary, Helios Resol Technology (Private) Limited, under a proposed group arrangement.

According to a material information disclosure submitted to the Pakistan Stock Exchange, the company’s Board of Directors passed the relevant resolutions through circulation on August 28, 2026. The disclosure was made pursuant to Section 96 of the Securities Act, 2015 and the applicable rules of the Pakistan Stock Exchange.

The board has authorized ARM Green Industries, formerly known as Calcorp Limited, to form and register a “Group” under Regulation 138 of the Companies Regulations, 2024. The proposed structure will comprise ARM Green Industries as the holding company together with its subsidiary, Helios Resol Technology (Private) Limited.

The disclosed subsidiary is registered as Helios Resol Technology (Private) Limited, with C.U.I.N./Registration No. 0265936, according to the company’s notice.

Application to SECP

As part of the process, the board has also approved the filing of an application for registration of the aforesaid Group with the Securities and Exchange Commission of Pakistan (SECP) in the prescribed manner and form.

The move represents a formal step toward organizing the company and its subsidiary within a recognized group structure. Registration with the SECP will be subject to the applicable regulatory requirements and procedures.

The board has further authorized the company’s Chief Executive Officer (CEO) or Company Secretary, acting singly, to sign, verify, execute and submit all required documents and forms. They have also been empowered to undertake any other actions considered necessary to complete the registration process with the SECP.

Disclosure to Stock Exchange

ARM Green Industries said the notice was submitted for information and record and disseminated to the Pakistan Stock Exchange in compliance with the company’s continuing disclosure obligations.

The development is therefore primarily a corporate and regulatory restructuring step, with the proposed group consisting of ARM Green Industries as the holding company and Helios Resol Technology as its subsidiary. The company’s disclosure does not provide further details regarding any operational, financial or investment impact arising from the proposed group registration.
