Karachi, April 21, 2026: Matco Foods Limited has disclosed that its Board of Directors has authorized the transfer of an immovable property and related assets to its wholly owned subsidiary, Falak Foods Limited (FFL), as part of an internal business restructuring.

According to the company’s disclosure to the Pakistan Stock Exchange, the Board approved the transaction through resolutions passed by way of circulation on April 20, 2026. The assets being transferred include 3.47 acres (27.76 kanals) situated in Tehsil Kamoki, District Gujranwala, along with the building, plant, machinery and equipment installed or stored at the site.

The property and associated assets constitute what the company has referred to as the “Business Unit.” Matco Foods has authorized Falak Foods to acquire the Business Unit at a par value of Rs27.76 million.

The consideration for the transfer will be paid by Falak Foods after it raises funds through a rights issue. Following the transaction, Matco Foods will continue to maintain 100% ownership of Falak Foods Limited, ensuring that the subsidiary remains wholly owned by the parent company.

The latest disclosure follows an earlier announcement made by Matco Foods on January 12, 2026, indicating that the transaction is part of an ongoing process previously communicated to the market.

The development highlights Matco Foods’ move to reorganize certain business assets within its corporate structure while retaining full ownership of the subsidiary involved in the transaction. The company has also requested the Pakistan Stock Exchange to inform its TRE Certificate Holders accordingly.
