Gatron (Industries) Limited has announced a significant step forward in its proposed corporate restructuring after its Board of Directors approved the draft Scheme of Arrangement involving the company, Nova Frontiers Limited, and Ghani & Tayub (Private) Limited. The decision was made through a resolution by circulation dated May 2, 2026, according to a material information disclosure submitted to the Pakistan Stock Exchange (PSX).

The company stated that the proposed Scheme of Arrangement is being pursued under Section 279 of the Companies Act, 2017. The transaction aims to facilitate a restructuring process between the participating companies and their respective shareholders, subject to regulatory approvals and other legal requirements.

As part of the process, the Board also approved supplemental audited financial statements for the period ended December 31, 2025. These financial statements have been prepared specifically to support the proposed Scheme of Arrangement and provide stakeholders with updated financial information relevant to the transaction.

The latest development follows an earlier disclosure made by Gatron on January 28, 2026, regarding the planned restructuring initiative. The company has requested the Pakistan Stock Exchange to inform TRE Certificate Holders of the approval and related developments.
