Engro Corporation Limited, a wholly owned subsidiary of Engro Holdings Limited, has entered into an agreement with Lotte Chemical Pakistan Limited for the sale of its entire shareholding in Engro Polymer & Chemicals Limited (EPCL).
According to a material information disclosure issued to the Pakistan Stock Exchange on September 1, 2026, the transaction involves approximately 56.19% of EPCL’s issued and paid-up ordinary share capital. The aggregate value of the transaction has been agreed at PKR 19.7 billion, equivalent to PKR 38.6 per share.
Lotte Chemical Named as Acquirer
Under the share purchase agreement, Lotte Chemical Pakistan Limited will acquire Engro Corp’s entire stake in EPCL. The transaction marks a significant development for the ownership structure of one of Pakistan’s major chemical companies.
The agreement follows an earlier disclosure made by Engro Holdings on March 13, 2026. The latest announcement confirms that the parties have now entered into a formal share purchase agreement for the proposed sale.
Transaction Worth PKR 19.7 Billion
The total transaction consideration stands at PKR 19.7 billion, based on an agreed price of PKR 38.6 per EPCL share. Engro Corp’s stake represents more than half of EPCL’s issued and paid-up ordinary share capital, making the transaction a substantial change in the company’s shareholder structure.
Completion Subject to Approvals
While the share purchase agreement has been signed, the transaction has not yet been completed. Engro Holdings said completion remains subject to conditions outlined in the agreement, including the receipt of required corporate and regulatory approvals and applicable consents.
The company also said it will keep the Pakistan Stock Exchange informed about any further material developments related to the transaction.
