KARACHI — Fauji Cement Company Limited and Kot Addu Power Company Limited have moved forward with their public offer to acquire up to 10,950,306 ordinary shares of Attock Cement Pakistan Limited (ACPL), representing approximately 7.97% of the company’s total paid-up ordinary share capital.
According to documents submitted to the Pakistan Stock Exchange, the joint acquirers are proceeding with the offer under the Securities Act, 2015 and the Listed Companies (Substantial Acquisition of Voting Shares and Takeovers) Regulations, 2017.
Integrated Equities Limited, acting as manager to the offer, informed the relevant authorities that the offer letters, along with acceptance forms, had been dispatched to shareholders of Attock Cement. The public announcement regarding the commencement of the acceptance period was scheduled for publication in The Nation and Nawa-e-Waqt on April 4, 2026.
The offer follows a public announcement made by Fauji Cement and Kot Addu Power Company on February 17, 2026, concerning their intention to acquire the specified shares of Attock Cement and obtain control of the target company.
Attock Cement Pakistan Limited subsequently informed the Pakistan Stock Exchange on April 7, 2026, that it had received the offer-related letter from Integrated Equities Limited dated April 2. The company said the offer involved the acquisition of up to 10.95 million ordinary shares by the joint acquirers under the applicable takeover regulations.
Fauji Cement also disclosed that the offer letters had been sent to shareholders together with the required acceptance forms. Its filing further stated that the public announcement concerning the start of the acceptance period had been published on April 4.
The development marks the next stage in the takeover process involving Attock Cement, with shareholders now being provided the formal documentation required to consider and participate in the public offer. The transaction remains subject to the applicable regulatory framework and procedures governing substantial acquisitions and takeovers in Pakistan.
