Trust Securities & Brokerage Seeks Approval to Raise Authorized Share Capital to Rs1 Billion

Karachi, September 25, 2026: Trust Securities & Brokerage Limited has proposed an increase in its authorized share capital from Rs750 million to Rs1 billion, subject to approval from the company’s shareholders.

According to a material information notice submitted to the Pakistan Stock Exchange, the company’s Board of Directors approved the proposal at its meeting held on September 25, 2026. The proposed increase will require approval through a special resolution by the shareholders.

Under the proposal, the company’s existing authorized share capital of Rs750 million is divided into 750 million ordinary shares of Rs1 each. The company intends to increase this limit to Rs1 billion, comprising 1 billion ordinary shares of Rs1 each.

The proposed change will also require corresponding amendments to the relevant clauses of the company’s Memorandum of Association and Articles of Association, subject to the necessary approvals.

Shareholders to Consider Proposal in October

The matter is scheduled to be presented to shareholders at the company’s Annual General Meeting (AGM) on October 26, 2026. The proposed increase will take effect subject to shareholders approving the special resolution and the completion of the required regulatory and corporate formalities.

An increase in authorized share capital raises the maximum amount of share capital a company is permitted to issue under its constitutional documents. However, the notice does not state that the company is immediately issuing new shares or raising fresh equity; it specifically concerns an increase in the authorized share capital limit.
